1. About these terms
These terms govern use of the PoodleCollective website and the purchase of services unless a separate written proposal, statement of work or service agreement states otherwise.

2. Services
PoodleCollective provides WordPress maintenance, technical support, security, performance optimisation, audits, plugin development, custom application development and related services as described on the website or in an agreed proposal.
The exact scope, deliverables, assumptions, exclusions, timetable and support arrangements are those confirmed in the applicable product description, proposal, statement of work or service agreement.
3. Quotations and acceptance
A quotation or proposal is valid for the period stated in that document. Work begins only after the required acceptance, information, access and payment have been received.
Changes to an agreed scope may affect price and delivery. Additional work will be explained and agreed before it is carried out.
4. Fees and payment
Fees are those shown on the website or agreed in writing. Recurring services are charged monthly in advance unless agreed otherwise. Project payment schedules are stated in the relevant proposal or checkout process.
{{INSERT_LATE_PAYMENT_TERMS, TAX/VAT WORDING, PAYMENT METHODS AND INVOICE TERMS}}
Fees for a billing period that has already begun are non-refundable except where required by law or expressly agreed in writing.
5. Client responsibilities
The client must:
- Have authority to request work on the website and supplied systems
- Provide accurate information and suitable access in a timely manner
- Maintain valid licences and subscriptions for third-party products
- Keep independent copies of important business data where appropriate
- Review work, answer questions and provide approvals without unreasonable delay
- Use secure methods requested for credentials and access keys
- Ensure that content, data and instructions supplied for use are lawful
Delays caused by missing access, information, approvals or third-party action may affect delivery dates.
6. Third-party products and services
Websites and applications may depend on hosts, domains, plugins, themes, payment providers, APIs and other third-party services. PoodleCollective is not responsible for a third party's availability, product changes, security incidents or decisions, but can provide reasonable assistance within the agreed scope.
Third-party licence, subscription and usage fees are not included unless explicitly stated.
7. Intellectual property
{{INSERT AGREED OWNERSHIP, LICENSING, PRE-EXISTING CODE, OPEN-SOURCE SOFTWARE, PORTFOLIO AND SOURCE-CODE TERMS}}
Project-specific terms in an accepted proposal take precedence where they differ from this section.
8. Confidentiality and access
Each party must take reasonable care with confidential information received through the engagement. Website credentials and private keys must be shared only through an agreed secure method.
A separate non-disclosure agreement may be used where appropriate.
9. Support and service levels
Support hours, priority, included capacity and response arrangements are defined by the purchased service. A stated response time refers to acknowledgement or triage unless a written agreement explicitly guarantees resolution.
Care Plan clients are also subject to the Care Plan Service Agreement.
10. Suspension and termination
PoodleCollective may suspend work where payment is overdue, access is unsafe, the requested work is unlawful, the website presents an unmanaged security risk, or behaviour towards the team is abusive or unreasonable.
Notice periods for recurring services are stated in the applicable service agreement. Either party may terminate immediately for a serious uncured breach where permitted by the agreement and law.
11. Warranties and limitations
PoodleCollective will perform services with reasonable care and skill. No guarantee is made that a website will achieve a particular search ranking, performance score, revenue result, conversion rate, uptime percentage or complete immunity from security incidents unless a specific written guarantee has been agreed.
{{INSERT LEGALLY REVIEWED LIABILITY CAP, EXCLUSIONS, DATA-LOSS WORDING, INDIRECT LOSS WORDING AND ANY CONSUMER/BUSINESS DISTINCTIONS}}
Nothing in these terms excludes liability that cannot lawfully be excluded.
12. Data protection
Personal information is handled as described in the Privacy Policy. Where PoodleCollective processes personal data on behalf of a client, a separate data-processing agreement may be required depending on the service and data involved.
13. Changes to these terms
The terms may be updated from time to time. Material changes affecting an active recurring service will be communicated using the notice process in the relevant agreement.
14. Governing law
These terms are governed by the laws of England and Wales. {{INSERT LEGALLY REVIEWED JURISDICTION AND DISPUTE TERMS}}
